Please read these Terms and Conditions (“Terms,” “Terms and Conditions”) carefully before using the Site. By accessing or using any part of the Site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Site or use any of the services provided. If these Terms are considered an offer, acceptance is expressly limited to these Terms.

THE INFORMATION, CONTENT, PRODUCTS AND SERVICES ON THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BURRYCO DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Site Access and Use

Subject to these Terms, we grant each User of the Site a worldwide, non-exclusive, non-sublicensable and non-transferable license to use (i.e., to download and display locally) Content solely for purposes of using the Site.

You can submit questions, comments, suggestions, ideas, original or creative materials or other information about Burryco, the Site or our products or services (collectively, “Feedback”). Feedback is non-confidential and shall become the sole property of Burryco. We shall own exclusive rights, including, without limitation, all intellectual property rights, in and to Feedback and shall be entitled to the unrestricted use and dissemination of Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Social Media

The Site may provide you opportunities to engage in social sharing through third party social media platforms such as by clicking on social plug-ins (e.g. Facebook’s “Like” button, Pinterest’s “Pin it” button or Twitter’s “Tweet” button). You are prohibited from violating or attempting to circumvent or compromise the security of the Site, including, without limitation:

“Burryco® Dress, Maxi Dress, Midi Dress”, our logos and any other product or service names, logos or slogans that may appear on the Site are trademarks of Burryco and may not be copied, imitated or used, in whole or in part, without our prior written permission. You may not use any metatags or other “hidden text” utilizing “Burryco® Dress, Maxi Dress, Midi Dress” or any other name, trademark or product or service name of Burryco without our prior written permission. In addition, the look and feel of the Site, including, without limitation, all page headers, custom graphics, button icons and scripts, constitute the service mark, trademark or trade dress of Burryco and may not be copied, imitated or used, in whole or in part, without our prior written permission.

All other trademarks, registered trademarks, product names and company names or logos mentioned on the Site are the property of their respective owners and may not be copied, imitated or used, in whole or in part, without the permission of the applicable trademark holder. Reference to any products, services, processes or other information by name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by Burryco.

Indemnification

You agree to indemnify, defend and hold harmless Burryco and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Severability

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by discontinuing your use of the Site and destroying all materials obtained from the Site.

WE MAY SUSPEND, TERMINATE, MODIFY, OR DELETE USERS AT ANY TIME FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE TO YOU, AND WITHOUT LIABILITY TO YOU OR ANY THIRD PARTY. For example, we may terminate your account if you have breached any provision of these Terms. Upon termination of your account, your right to use the Site will immediately cease. If you wish to terminate your account, you may simply discontinue using the Site.

Governing Law

These Terms shall be governed by the laws in force in the State of California. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
